These Terms govern your use of Zynqly and form a legally binding agreement with AYDEX Technologies (Sole Proprietorship, Kanpur, India). They are governed by the Indian Contract Act, 1872, the IT Act, 2000, and the DPDP Act, 2023. Each section includes a Plain English summary — look for the highlighted callout. These Terms are to be read alongside our Privacy Policy.

Using Zynqly means you agree to these Terms. These Terms are governed by Indian law.

By accessing or using Zynqly ("the Service"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not access or use the Service. These Terms constitute a legally binding agreement between you and AYDEX Technologies (Sole Proprietorship), the owner and operator of Zynqly, with its registered office at ML 242, Jarauli, Barra Road, Jarauli Phase 1, Nagar Nigam Kanpur, Kanpur Nagar, Uttar Pradesh — 208027, India. These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Digital Personal Data Protection Act, 2023, and the Consumer Protection Act, 2019, as applicable.

Zynqly automates Instagram DMs, comment replies, lead collection, and analytics — all through the official Meta API. We are a computer programming services company registered in Kanpur, India.

Zynqly is an Instagram automation platform that provides tools including, but not limited to: automated comment replies, direct message (DM) workflows, keyword-triggered automations, lead capture (email and phone collection), and analytics. The Service is operated by AYDEX Technologies, a sole proprietorship registered under NIC Code 6201 (Computer Programming Activities) with its principal place of business in Kanpur, Uttar Pradesh, India. The Service integrates exclusively with Instagram via the official Meta Graph API and is designed for legitimate business and marketing use cases in compliance with Meta's Platform Policies. We do not guarantee compatibility with unofficial or third-party Instagram tools.

You must be 18+ and using this for legitimate business purposes. Minors are not permitted to use the Service.

You must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872 to use the Service. By registering, you represent and warrant that: (a) You are at least 18 years old; (b) You have the legal authority to enter into these Terms on your own behalf or on behalf of your organisation; (c) You are using the Service for legitimate business or professional purposes only; (d) All registration information you provide is accurate and complete. If you are registering on behalf of a business entity, you represent that you are authorised to bind that entity to these Terms. The Service is not available to individuals under 18 years of age. Accounts found to belong to minors will be terminated immediately.

Keep your credentials safe. Notify us immediately at adarsh.yadav.dev@gmail.com if your account is compromised. You are responsible for all activity on your account.

When you create an account on Zynqly, you are responsible for: (a) Maintaining the confidentiality of your login credentials; (b) All activity that occurs under your account, whether or not authorised by you; (c) Notifying us immediately of any unauthorised access or security breach at adarsh.yadav.dev@gmail.com. You agree to use a strong, unique password and not to share your credentials with any third party. AYDEX Technologies will not be held liable for any loss or damage arising from your failure to maintain account security. We reserve the right to suspend or terminate your account without notice if we reasonably believe your account security has been compromised or if you have violated these Terms.

You must follow Meta's rules at all times. If your Instagram account gets restricted or banned for violating their policies, that is your responsibility — not ours.

Your use of Zynqly must comply with Instagram's Terms of Use and Meta's Platform Policy at all times. You acknowledge that: (a) Zynqly operates exclusively via the official Meta Graph API. We do not use any unofficial, scraping, or bot-based access methods; (b) Any violation of Meta's policies — including sending spam, running prohibited promotions, or misusing DM automation — may result in restriction or suspension of your Instagram account. AYDEX Technologies bears no liability for such consequences; (c) You are solely responsible for the content of messages, replies, and workflows you configure in Zynqly; (d) You agree not to use the Service to send unsolicited commercial messages, harass users, or violate Instagram Community Guidelines; (e) Meta may change its API access policies at any time, which may affect Service functionality. We will make reasonable efforts to adapt but cannot guarantee uninterrupted access in such scenarios.

Don't spam, impersonate, hack, scrape, or break any law — Indian or otherwise. Violations will result in immediate account termination.

You may not use the Service to: (a) Send unsolicited commercial messages, bulk spam, or phishing communications; (b) Impersonate any person, brand, or entity, or misrepresent your affiliation with any organisation; (c) Upload, transmit, or distribute malicious code, viruses, or any software designed to disrupt or harm; (d) Attempt to gain unauthorised access to any system, network, or account; (e) Violate any applicable Indian law, including the IT Act, 2000, the DPDP Act, 2023, the Indian Penal Code, or any other local, state, or central law; (f) Collect, harvest, or process personal data of Instagram users without their informed consent; (g) Use the Service for any unlawful, defamatory, obscene, or fraudulent purpose; (h) Circumvent, disable, or interfere with any security or access control feature of the Service; (i) Resell, sublicense, or commercially exploit the Service without written authorisation from AYDEX Technologies; (j) Use automated tools to scrape data from Zynqly's platform in violation of these Terms. Violations may result in immediate account suspension and may be reported to relevant Indian law enforcement authorities under the IT Act, 2000.

Payments are processed in INR via Razorpay. Subscriptions auto-renew. Fees are non-refundable except as required by Indian consumer law. We give 30 days' notice before price changes.

Zynqly offers subscription plans billed on a monthly or annual basis. All payments are processed in Indian Rupees (INR) via Razorpay, a payment gateway licensed by the Reserve Bank of India. By subscribing, you authorise AYDEX Technologies to charge your selected payment method on a recurring basis until you cancel. Pricing and refunds: (a) All fees are exclusive of applicable taxes, including GST, which will be charged as required by Indian tax law; (b) Subscription fees are generally non-refundable, except where required under the Consumer Protection Act, 2019 or other applicable Indian law; (c) We reserve the right to change pricing with at least 30 days' prior notice via email; (d) Failure to pay on time may result in suspension of your account. Accounts suspended for non-payment for more than 60 days may be permanently terminated with data deletion after 90 days. To cancel your subscription, visit your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then.

Your data is yours. We process it only to provide the Service. Our Privacy Policy (incorporated here) explains everything. We comply with the IT Act 2000 and DPDP Act 2023.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference and forms part of this agreement. In the event of a conflict between these Terms and the Privacy Policy on data-related matters, the Privacy Policy shall prevail. Key points: (a) You retain full ownership of your data, including lead data captured through your automations; (b) By using the Service, you grant AYDEX Technologies a limited, non-exclusive licence to process your data solely to provide and improve the Service; (c) We process personal data in compliance with the Digital Personal Data Protection Act, 2023 and the Information Technology (Reasonable Security Practices) Rules, 2011; (d) You are responsible for obtaining all necessary consents from your own customers/followers before capturing their personal data (emails, phone numbers) through Zynqly's lead capture features; (e) Upon account deletion, your data is handled as described in the Privacy Policy (§10). AYDEX Technologies owns Zynqly and everything we built. You own your content and lead data. Neither party may use the other's IP without written permission.

The Service, including its software, design, source code, features, branding, and all original content created by AYDEX Technologies, is the exclusive intellectual property of AYDEX Technologies and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian intellectual property laws. (a) You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from any part of the Service without prior written consent; (b) "Zynqly" and associated logos are trademarks of AYDEX Technologies and may not be used without written authorisation; (c) User-generated content — including your message templates, automation flows, and lead data — remains your intellectual property. You grant us a limited licence to host and process this content solely to provide the Service; (d) Any feedback or suggestions you provide may be used by AYDEX Technologies to improve the Service without any obligation to you.

We do our best, but the Service is provided as-is. We do not guarantee 100% uptime or uninterrupted access, especially given Instagram's API dependency.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis to the fullest extent permitted under Indian law. AYDEX Technologies makes no representations or warranties of any kind, express or implied, including but not limited to: (a) Warranties of merchantability, fitness for a particular purpose, or non-infringement; (b) Guarantees that the Service will be uninterrupted, error-free, or free of security vulnerabilities; (c) Guarantees regarding the accuracy or reliability of any results obtained through the Service; (d) Warranties that the Service will remain compatible with Meta's platform or API — Instagram's policies and API access terms are beyond our control and may change at any time. Nothing in this clause limits any statutory rights you may have under the Consumer Protection Act, 2019 or other applicable Indian consumer protection law.

Our total liability is capped at the fees you paid us in the 12 months before your claim. We are not liable for indirect losses, loss of profits, or Instagram account suspensions.

To the maximum extent permitted by applicable Indian law, AYDEX Technologies shall not be liable for: (a) Any indirect, incidental, special, consequential, or punitive damages; (b) Loss of profits, revenue, data, goodwill, or business opportunities; (c) Suspension or loss of your Instagram account due to Meta policy violations on your part; (d) Any interruption, delay, or failure of the Service caused by third-party services (including Meta's API, Razorpay, or cloud infrastructure providers). Our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to AYDEX Technologies in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in this clause limits liability for fraud, wilful misconduct, or death/personal injury caused by our negligence — liabilities that cannot be excluded under Indian law.

As required by Indian law, we have a designated Grievance Officer. Lodge complaints by email or post — we respond within 48 hours and resolve within 30 days.

We will: (a) Acknowledge your complaint within 48 hours of receipt; (b) Endeavour to resolve it within 30 days of receipt. If your grievance relates to personal data processing, you may also approach the Data Protection Board of India once it becomes operational under the DPDP Act, 2023.

We can suspend or terminate your account for violations with or without notice. You can close your account at any time from settings. Some clauses survive termination.

AYDEX Technologies reserves the right to suspend or terminate your account and access to the Service, with or without prior notice, if: (a) You breach any provision of these Terms; (b) We receive a valid order or direction from a competent Indian court or government authority; (c) Your account has been inactive for more than 12 consecutive months; (d) Continued provision of the Service to you poses a legal, security, or reputational risk. You may terminate your account at any time by deleting it from your account settings. Upon termination: (a) Your right to access the Service ceases immediately; (b) Your data will be handled as described in our Privacy Policy (§10); (c) Clauses that by their nature should survive termination shall remain in effect, including §9 (Intellectual Property), §10 (Warranties), §11 (Liability), §14 (Governing Law), and §15 (Dispute Resolution).

These Terms are governed by Indian law. Any disputes will be resolved in the courts of Kanpur, Uttar Pradesh.

These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of India. The courts located in Kanpur, Uttar Pradesh, India shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, subject to the arbitration clause in §15. Nothing in this clause prevents AYDEX Technologies from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction.

We prefer to resolve disputes amicably. If that fails, disputes go to binding arbitration in Kanpur under the Arbitration and Conciliation Act, 1996.

We encourage you to contact us first at adarsh.yadav.dev@gmail.com to resolve any dispute informally. Most concerns can be settled quickly this way. If a dispute cannot be resolved within 30 days of notification, it shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The following shall apply: (a) The seat and venue of arbitration shall be Kanpur, Uttar Pradesh, India; (b) The arbitration shall be conducted in the English language by a sole arbitrator mutually agreed upon by the parties, or failing agreement, appointed in accordance with the Act; (c) The arbitral award shall be final and binding on both parties. This arbitration clause does not prevent either party from approaching a consumer forum under the Consumer Protection Act, 2019, where applicable.

We'll notify you by email at least 14 days before significant changes. Continued use after the effective date = acceptance.

AYDEX Technologies reserves the right to modify these Terms at any time to reflect changes in the Service, applicable Indian law, or our business practices. For material changes, we will notify you via email to your registered address and/or a prominent notice within the Service at least 14 days before the change takes effect. For minor changes (such as typographical corrections), we may update the Terms without prior notice. The "Last updated" date at the top of this page always reflects the most recent revision. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service and may close your account.
